Terms of Service

Acendro provides a unified enterprise workforce ecosystem encompassing Human Resources Information Systems (HRIS), Learning Management Systems (LMS), Operations Management, Payroll processing features, and AI-assisted performance coaching (the "Platform").

• Eligibility: You must be a legally recognized business entity to use Acendro.
• Admin Responsibilities: The Client is responsible for maintaining the confidentiality of all login credentials and for all activities that occur under their account.
• User Access: The Client is solely responsible for managing the permissions and access levels of its authorized employees within the platform.

• Billing Provider: All subscription payments are processed securely through our authorized merchant of record, Lemon Squeezy.
• Subscription Terms: Services are billed on a recurring subscription basis (e.g., monthly or annually). By entering your payment information, you authorize Lemon Squeezy to charge the applicable subscription fees automatically.
• Cancellations & Refunds: You may cancel your subscription at any time. Cancellations will take effect at the end of the current billing cycle. Subscription fees are non-refundable, except where required by law.

• Client Data: The Client retains all rights, title, and interest in and to all HR data, employee information, and proprietary content uploaded to the platform ("Client Data").
• Acendro IP: Acendro retains all rights, title, and interest in the Platform, including its underlying software, algorithms, UI/UX designs, AI models, and any platform enhancements.
• License to Host: By uploading Client Data, you grant Acendro a limited, non-exclusive license to host, process, and display this data solely for the purpose of providing the Services to you.

You agree not to use the Services to:

• Reverse engineer, decompile, or attempt to extract the source code or AI architecture of the Platform.
• Upload malicious code, viruses, or data intended to disrupt the Services.
• Violate any applicable local, national, or international labor laws or data privacy regulations.

To ensure the integrity of our Services, the Client acknowledges and agrees to the following specific limitations:

• AI Coaching Limitation: Acendro provides AI-generated insights, simulation feedback, and coaching notes. These tools are designed to augment human leadership, not replace it. The Client is solely responsible for all employment, disciplinary, and termination decisions. Acendro shall not be liable for any labor disputes arising from actions taken based on platform insights.
• Payroll & Statutory Compliance: While Acendro provides tools to calculate Philippine payroll, taxes, and statutory deductions (SSS, PhilHealth, Pag-IBIG), the Client remains the sole entity responsible for the accuracy of these calculations, final disbursements, and legal compliance with the Department of Labor and Employment (DOLE) and the Bureau of Internal Revenue (BIR).

To the maximum extent permitted by applicable law, in no event shall Acendro, its founders, or affiliates be liable for any indirect, punitive, incidental, special, or consequential damages, including loss of profits, loss of data, or business interruption arising out of the use or inability to use the Services. Acendro's total aggregate liability shall not exceed the total amount paid by the Client for the Services in the three (3) months preceding the claim.

We strive for high platform uptime, but we do not guarantee uninterrupted access. We reserve the right to temporarily suspend the Services for scheduled maintenance, upgrades, or emergency repairs, and will provide reasonable advance notice whenever possible.

These Terms shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any disputes arising from these Terms shall be resolved through good-faith negotiations, failing which, they shall be subject to the exclusive jurisdiction of the competent courts in [Insert City, e.g., Metro Manila].

We reserve the right to modify these Terms at any time. We will notify you of any material changes via email or an in-app notification. Continued use of the Services after such updates constitutes acceptance of the new Terms.
